Community Terms of Use Agreement

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE [Parent Community] PLATFORM

By clicking “I Agree,” accessing, or using Parent Community (including the website and mobile application available through the Apple App Store and Google Play Store), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and consent to enter into this agreement electronically in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA), as adopted by Colorado in C.R.S.  24-71.3-101 et seq. Your electronic acceptance constitutes your legally binding signature with the same legal effect as a handwritten signature. You acknowledge that you have the right to receive a paper copy of this agreement and may request one by contacting support@Frontera.com, and we will provide such copy within ten (10) business days of your request. If you do not agree to these Terms of Use, you may not access or use Parent Community.

Description of Services

Frontera Health, Inc. operates Parent Community (“Parent Community”; “Parent Community App”; “we”; “us”; or “Platform”), which is a separate website from other Frontera websites. Parent Community is a free online community available through our website and mobile app (the “Frontera App,” available on Apple App Store and Google Play Store) for users to

  • connect with other parents and caregivers raising neurodivergent children to share experiences and support one another;
  • learn about care teams and providers that other families have assembled for their neurodivergent children;
  • read personal stories from other families to gain insight and encouragement about their journeys raising neurodivergent children;
  • share your own story, experiences with care teams and providers, and helpful ideas about raising your neurodivergent child; and
  • connect with others in the community to share tips, ask questions, get encouragement, and feel supported on your journey.

Parent Community is not a medical referral site and does not recommend or endorse any particular healthcare provider or medical treatment. No information on Parent Community should be construed as medical or health advice. You should always seek the advice of your physician or other qualified health care provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on Parent Community.

IMPORTANT PRIVACY NOTICE: Parent Community is NOT HIPAA-compliant. Parent Community is not a “covered entity” under the Health Insurance Portability and Accountability Act of 1996 and its related rules (“HIPAA”). We strongly recommend that you DO NOT share Protected Health Information (“PHI”) or other sensitive personal health information in the community, including but not limited to: specific medical diagnoses, treatment details, prescription information, medical record numbers, insurance information, or any information that could identify you or your child in connection with health conditions. Any information you share may be visible to other community members and is not protected under HIPAA. You acknowledge and agree that you are solely responsible for determining what information to share on the Platform.

Acceptance of Terms

Parent Community is provided to you by Frontera, and by using the Platform you agree to the terms and conditions contained herein (“Terms of Use“). We may update these Terms of Use from time to time, and will notify you of material changes by posting the updated terms on the Platform and sending you an email notification to the email address associated with your account at least 30 days before the changes take effect. The notification will include a summary of material changes, the effective date, and a link to the full updated Terms of Use. Your continued use of the Platform after the effective date shall constitute your acceptance of the updated Terms of Use. You may also affirmatively accept the updated terms by clicking “I Accept” or similar acknowledgment. If you do not agree to the updated terms, you must discontinue use of the Platform before the effective date. These Terms of Use comprise the entire agreement between you and Frontera regarding Parent Community and supersede all prior agreements between the parties regarding the subject matter hereof.

AGE REQUIREMENT: You must be at least 18 years old to use Parent Community. By using the Platform, you confirm that you are at least 18 years of age and have the legal ability to enter into this binding agreement. The Platform is designed for an adult audience, so there may be some content on the Platform that is not appropriate for minors.

Sometimes, Parent Community may tell you about upcoming research opportunities, clinical trials, or services in your area that may be relevant to you or your family. However, information that can identify you, such as your name or email address, will not be shared, except as described in these Terms of Use, with third parties or partners of any kind without your clear permission in advance.

Conditions of Use

All content on or made available through the Site is owned exclusively by Frontera and is protected by copyright under both United States and foreign laws. You may use the content on the Site only for your personal, non-commercial use. Any use of such content not clearly allowed by the Terms of Service is a breach of the Terms of Service, and may be a violation of copyright, trademark, and other laws. The content and features of the Site may change from time to time or be deleted without notice at our discretion. All rights not clearly granted in this document are reserved to Parent Community and its licensors.

While some information on the Platform is available without registration, active participation on the Platform, including submission of User Content and/or storage of your information, requires you to register as a member.

REGISTRATION REQUIREMENTS: To register, you must provide accurate information including your real name, date of birth, and general location (city and state). This information will be kept confidential and used only as described in our Privacy Policy. However, you may choose to use an anonymous username for your public profile and community interactions to protect your privacy while participating in the community. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at support@Frontera.com of any unauthorized use of your account. You must be at least 18 years of age to register.

As part of the registration process, you give Parent Community permission to use your personal information (all such information, “Registration Information”) according to our Privacy Policy located at https://fronterahealth.com/privacy-policy. Our Privacy Policy explains how we collect, use, and protect your information, including our use of your content with artificial intelligence (AI) tools to improve our services and develop new features.

AI TRAINING CONSENT: By registering, you affirmatively and separately consent to the use of your User Content to train and improve our AI systems as described in the Privacy Policy. This includes using your posts, comments, and other content as training data for machine learning models. This consent is separate from your agreement to these Terms of Use and is voluntary. You have the right to withdraw this consent at any time by contacting us at support@Frontera.com or through your account settings. Upon withdrawal, we will cease using your content for AI training purposes within thirty (30) business days, though we cannot remove content already incorporated into trained models. Withdrawal of consent will not affect your ability to use the core community features of the Platform, though certain AI-powered personalization features may be limited. We will clearly identify which features require AI consent.

CROSS-SERVICE CONSENT: If you use other services provided by Frontera Entities (defined as Frontera Health New Mexico, Frontera Medical P.A., and any present or future affiliate, subsidiary, or parent, including Frontera Health, Inc.), you may choose to consent to the sharing of your information and content from Parent Community with those Frontera Entities for the purposes described in our Privacy Policy. This consent is entirely optional and voluntary. You may opt in or opt out of such sharing at any time by contacting us at support@Frontera.com or through your account settings. Your decision regarding cross-service sharing will not affect your ability to use the core features of Parent Community. Certain integrated features that require data sharing across services may be unavailable if you opt out, and we will clearly identify these features to you.

GDPR NOTICE FOR EU USERS: If you are located in the European Union, you have additional rights under the General Data Protection Regulation (GDPR), including the right to access, correct, delete, and port your personal data. You also have the right to object to certain processing and to lodge a complaint with your local data protection authority. For more information about your GDPR rights and how to exercise them, please see our Privacy Policy or contact us at support@Frontera.com.

You acknowledge that the Platform may link to other websites or services not controlled by us, and that the collection of your information by these third-party sites is governed by those third parties’ privacy policies.

Frontera may immediately terminate your Parent Community account or limit your access to the Platform without prior notice: (a) upon your breach or violation of these Terms of Use or other incorporated agreements or guidelines; (b) upon request by law enforcement or other government agencies; (c) upon request by you (through self-initiated account cancellation); (d) for unexpected technical issues or problems; (e) for extended periods of inactivity; (f) if we determine that content violates mandatory reporting obligations under state or federal law; or (g) for any reason or no reason in our discretion. Parent Community has no obligation to maintain, store, or transfer to you information or data that you have saved, posted on or uploaded to the Platform.

Parent Community Text Message Program

When you opt-in to the Parent Community text message services, we will send you a message to confirm your signup. You may select how often you want to be contacted or if you do not want messages at all.

You can cancel the service at any time. Just text “STOP” to any text message from Parent Community. After you text “STOP”, we will send you a text message to confirm that you have been unsubscribed. After this, you will no longer receive SMS & MMS messages from us. If you want to re-enroll in our text message program, you can text START to our phone number. Once you re-enroll, we will start sending Parent Community messages to you again.

If at any time you forget what keywords are supported, just text “HELP” to the long code. After you send the SMS/MMS message “HELP” to us, we will respond with instructions on how to use our service as well as how to unsubscribe.

We are able to deliver messages to most mobile phone carriers. Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. The frequency and length of Parent Community messages will vary. If you have any questions about your text plan or data plan, please contact your wireless provider. User Content

Posting User Content on Parent Community. We encourage you to share your experiences and information on the Platform, including without limitation recommendations of healthcare providers, your story, questions, posts, images, audio and user profile information such as photos and personal experiences (collectively, “User Content”).

IMPORTANT: Do not include Protected Health Information (PHI) or highly sensitive personal health information in your User Content. Remember that Parent Community is not HIPAA-compliant and your posts may be visible to other community members.

MANDATORY REPORTING NOTICE: By posting User Content, you acknowledge and expressly consent that Frontera may review your content and, if required by Colorado mandatory reporting laws (C.R.S.  19-3-304) or other applicable state or federal law, report suspected child abuse or neglect to appropriate authorities, including county departments of human or social services and law enforcement. You understand that such reporting may occur without prior notice to you and that Frontera is legally obligated to make such reports when we have reasonable cause to know or suspect child abuse or neglect. We take the safety of children seriously and will comply with all mandatory reporting obligations. This consent is a condition of using the Platform.

By posting or submitting User Content to the Platform, you warrant that you (i) are the sole author and creator of that content, (ii) have all necessary rights to provide such User Content to the Platform and to grant the licenses described in these Terms of Use, and (iii) your content does not violate any third-party rights or applicable laws. Content available on Parent Community may not be redistributed by any means without the express written approval of Frontera.

You hereby agree that if you choose to post a recommendation about a healthcare professional on the Site, you will do so only based upon your actual first-hand experience with such healthcare professional. We have the right, but not the obligation, to refuse to display or to remove any User Content posted by you on or to the Site for whatever reason or no reason at all.

You hereby waive any claim that Parent Community is somehow acting in an unfair or discriminatory manner by refusing to display (or by removing) any User Content.

You agree that you will not post or submit any User Content that Parent Community determines, in its discretion, contains or features any of the following:

  • Offensive, harmful and/or abusive language, including without limitation: expletives, profanities, obscenities, harassment, vulgarities, sexually explicit language and hate speech (e.g., racist/discriminatory speech);
  • References to illegal activity, professional malpractice or health code violations;
  • Content which contains material or links to material that infringes upon a third party’s intellectual property or proprietary rights including, without limitation, copyright, patent, trademark, trade secrets, or rights of publicity or privacy;
  • Content that intends to sell a product, website, fundraiser or seminar;
  • Content that contains personal attacks or describes physical confrontations and/or sexual harassment;
  • Personal information or messages including email addresses, URLs, phone numbers, photos and postal addresses of others (or both first and last name of individuals other than yourself unless their name is also part of the business name) that are not already publicly available;
  • Messages or URLs that are advertising or commercial in nature, or are inappropriate based on the applicable subject matter;
  • Language, photos, video or other media that violates the standards of good taste or the standards of the Site;
  • Content that is deemed to be illegal, or to violate any federal, state, or local law or regulation or the rights of any other person or entity;
  • Language intended to impersonate other users (including last names of other individuals) or offensive or inappropriate usernames or signatures; or
  • Content that is encrypted or that contains viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, interfere with, intercept or appropriate any system, data or personal information.
  • Any content selling or distributing nutritional or pharmaceutical products on Parent Community.

You further agree to accept full liability and responsibility for all User Content submitted by you or on your behalf to the Site.

Ownership of User Content

By submitting any User Content to the Platform, you expressly and voluntarily grant to Frontera and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media formats and through any media channels for the following purposes:

(a) Operating, providing, and improving the Parent Community Platform;

(b) Training, developing, and improving our artificial intelligence (AI) tools and algorithms, including using your content as training data for machine learning models;

(c) Providing personalized content and recommendations to you and other users;

(d) Marketing and promoting Parent Community and Frontera Entities’ services;

(e) Sharing with other Frontera Entities for their business purposes as described in our Privacy Policy.

You retain ownership of your User Content, but you grant us these broad usage rights. You may request deletion of your User Content by contacting support@Frontera.com. Upon such request, we will delete your User Content from our active systems within 30 days, subject to legal retention requirements. However, please note that content already used in AI training may not be fully removable from trained models, though we will cease using your content for future AI training upon your deletion request. This right to deletion is consistent with your rights under GDPR Article 17 (Right to Erasure) and the Colorado Privacy Act, though certain limitations apply as permitted by law. Frontera is under no obligation to give credit or pay any consideration to you for any User Content you post or for any use by Parent Community of such User Content.

Content that has been shared on Parent Community may not be copied, redistributed, or shared outside the Site without written permission from Frontera.

No Endorsement of Content or Businesses

When you use the Site, you may see content that is wrong, misleading, or upsetting. The Site may also have links to other websites that we don’t control. We don’t guarantee or approve the quality, accuracy, or reliability of any content on the Site or linked websites. Nothing on the Site represents the views or opinions of Parent Community, its related companies, or its employees, officers, directors, or shareholders. You understand and agree that, to the maximum extent permitted by applicable law, under no circumstances will Frontera be liable for any loss or damage of any kind as a result of your use of the Site or your reliance upon any content posted on or otherwise made available through the Site. We also have no obligation to review the Site’s content or to pre-screen any of the healthcare providers.

The Site does not give medical advice. The content on the Site is not meant to replace advice, diagnosis, or treatment from a doctor. healthcare provider reviews are opinions only – they are not facts or recommendations to use any healthcare provider’s services, and they are not medical advice. Always ask your doctor or other qualified health provider if you have questions about a medical condition. Never ignore professional medical advice or wait to get it because of something you read on the Site. If you think you have a medical emergency, call your doctor or 911 immediately. Parent Community does not recommend or endorse any specific tests, doctors, products, procedures, opinions, or other information mentioned on the Site. You are solely responsible for determining whether the information provided is suitable for your purposes, and reliance on the information is at your sole risk. You should obtain additional information as may be necessary for you to make an informed decision. To the maximum extent permitted by applicable law, neither Parent Community nor any third party content provider to the Site assumes any responsibility or liability for any advice, treatment, or services rendered by any Healthcare provider featured on the Site.

Relationship

This Terms of Service does not create any business partnership, employment relationship, or franchise relationship between you and Frontera. This agreement is only between you and Frontera and does not benefit any other person or company unless we specifically say so. If there is a dispute between users on this Site, or between users and any other person or company, you understand and agree that Frontera does not have to get involved. You hereby release Frontera, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to disputes between you and one or more users, Healthcare providers, third parties and/or any services, except to the extent such release is prohibited by applicable law or would violate your statutory rights under GDPR or Colorado consumer protection laws.

Offline Conduct

Although Parent Community cannot watch what users do off the Site, it breaks these Terms of Service to use any information you get from the Site to harass, abuse, or harm another person, or to contact, advertise to, or sell to any user without getting their clear permission first. This provision is consistent with GDPR’s restrictions on processing personal data for purposes incompatible with the original purpose of collection.

Security

We utilize secure servers to protect your Registration Information. You will be responsible for all activities that occur under your Registration Information. You agree to immediately notify us in writing of any unauthorized use of your account with us.

Unauthorized Use of Site

You may not use any device, software, or program to interfere with how the Site works. You may not intercept, steal, copy, change, or publicly display any content from the Site without written permission from Frontera. You may not do anything that puts too much strain on the systems that run the Site, including sending spam email. You may not use any method, including robots, spiders, or other automatic tools or manual processes, to watch or copy our web pages or content without written permission from Parent Community or Frontera.

System Outages

We sometimes schedule times when the Site is down for maintenance and other reasons. Unplanned outages may also happen. We are not responsible for the Site being unavailable or for any loss of data or transactions caused by planned or unplanned outages, or delays or failures in delivering information caused by these outages, actions by other companies, or problems with web hosting providers or the Internet.

Disclaimers of Warranties. Parent Community is provided “as is” and without any warranty or condition, express, implied or statutory, to the fullest extent permitted by applicable law. Frontera specifically disclaims any implied warranties of title, merchantability, and fitness for a particular purpose, accuracy of informational content and non-infringement, except where such disclaimers are prohibited by law. You assume full responsibility and risk for use of the Site and hyperlinked web sites. We make no warranty that the Site will meet your requirements or that the services provided on the Site will be uninterrupted, timely, secure or error free. We also make no warranties as to the results that may be obtained from the use of the Site or as to the accuracy or reliability of any information obtained through the Site or that any defects will be corrected. No advice or information, whether oral or written, obtained by you from Parent Community shall create any warranty not expressly made herein. This disclaimer is made to the fullest extent permitted by law. In addition, Frontera disclaims any and all liability for the acts, omissions, and conduct of any third party users, healthcare providers, Parent Community users, advertisers, and/or sponsors on the Site, in connection with the Site or otherwise related to your use of the Site, except where such disclaimer would violate applicable consumer protection laws. Frontera is not responsible for the products, services, actions, or failure to act of any Healthcare provider or third party in connection with or referenced on the Site, except as required by applicable law.

Limitations of Liability

In no event shall Parent Community, Frontera, shareholders, affiliates, suppliers or their respective authorized representatives be liable for any indirect, consequential, incidental, special, punitive or exemplary damages, or for any loss of profits or revenue, including but not limited to loss of sales, profit, revenue, goodwill, or downtime, (however arising in tort, contract, or otherwise) regardless of such party’s negligence or whether such party knew or should have known of the possibility of such damages, except where such limitation would be prohibited by applicable law, and in no event shall Frontera’s total cumulative liability under this agreement exceed US$100, except for liability that cannot be limited by law, including liability for gross negligence, willful misconduct, fraud, or violation of statutory rights under GDPR or Colorado consumer protection laws. You understand and agree that the download and upload of any material through the Site is done at your discretion and risk and that you will be solely responsible for any loss or damage to your computer system or loss of data that may result in the download or upload of any material. Frontera neither assumes, nor does it authorize any person or entity to assume on its behalf, any liability in connection with the provision of the Site. The limitations of liability provided in these Terms of Service inure to the benefit of Frontera, shareholders, affiliates and to all of our respective officers, directors, employees, attorneys and agents and, in each case, liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend and hold harmless Parent Community, Frontera, shareholders, subsidiaries, affiliates, officers, directors, employees, agents and advisors from and against any and all third-party claims, demands, actions, costs, liabilities, losses and damages of any kind (including reasonable attorneys’ fees) resulting from your use of the Site, any User Content you provide, any violations by you of any applicable laws or regulations, and any breaches by you of the Terms of Service, provided that this indemnification obligation shall not apply to claims arising from Frontera’s gross negligence, willful misconduct, or breach of its obligations under these Terms of Service or applicable law.

Violations of Terms and Liquidated Damages

Please report any violations of these Terms of Service, by emailing to support@fronterahealth.com. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

Notices; DMCA Compliance

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the internet infringes their rights under U.S. copyright law. If you believe in good faith that materials available on Parent Community infringe your copyright, you (or your agent) may send to Frontera a written notice by mail or email, requesting that Frontera remove such material or block access to it. If you believe in good faith that someone has wrongly filed a notice of copyright infringement against you, the DMCA permits you to send to Frontera a counter-notice. Notices and counter-notices must meet the then-current statutory requirements imposed by the DMCA. See http://www.copyright.gov/ for details. Notices and counter-notices must be sent in writing to Frontera as follows: By mail to Frontera Health, Inc., 1517 Blake Street, Suite 250, Denver, CO 80202, Attention: DMCA; or by email to support@fronterahealth.com

Binding Arbitration: Except for disputes that may be brought in small claims court or disputes relating to the enforcement of intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms of Use or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration before a single arbitrator. The arbitration shall take place in Denver, Colorado, or at another location mutually agreed upon by the parties, or by remote means if agreed to by both parties or required by applicable law. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures or, if JAMS is unable or unwilling to serve, by another mutually agreed upon arbitration healthcare provider applying comparable procedural rules, and the parties shall share equally the costs of arbitration, except that each party shall bear its own attorneys’ fees unless the arbitrator awards attorneys’ fees to the prevailing party as permitted by law. Notwithstanding the foregoing, if applicable law requires that the Service Healthcare provider bear the costs of arbitration or prohibits cost-sharing arrangements, such legal requirements shall prevail. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Notwithstanding the foregoing, either party may seek equitable relief in court to protect its intellectual property rights or confidential information, or to prevent irreparable harm. For users located in the European Economic Area, United Kingdom, or other jurisdictions where mandatory arbitration is prohibited or limited by law, this arbitration agreement shall not apply where it would deprive you of the protection afforded by mandatory consumer protection laws or prevent you from bringing proceedings in the courts of your jurisdiction in accordance with applicable law. This includes, but is not limited to, users in jurisdictions with laws that prohibit pre-dispute arbitration agreements for consumer contracts.

CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FRONTERA HEALTH, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both you and Frontera agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative, class, or collective proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and any disputes shall be resolved in the courts as specified in the Governing Law and Choice of Forum section, subject to applicable law. This waiver does not apply to users in jurisdictions where such waivers are prohibited by law, including certain EU member states and other jurisdictions with mandatory consumer protection laws that prohibit class action waivers.

Exception For Small Claims: Notwithstanding the above, either party may bring an individual action in small claims court for disputes or claims within the scope of that court’s jurisdiction.

Governing Law and Choice of Forum

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than Colorado, except that matters affecting copyrights, trademarks, patents, and other federal intellectual property rights shall be governed by U.S. federal law. To the extent required by applicable law, users may also have the benefit of certain mandatory provisions of the law of their state or country of residence that cannot be derogated from by agreement. For users located in the European Economic Area, this choice of law shall not deprive you of the protection afforded by mandatory provisions that cannot be derogated from by agreement under the law of your habitual residence. In any action to enforce these Terms of Use, the prevailing party will be entitled to recover its reasonable costs and attorneys’ fees to the extent permitted by applicable law. Subject to the binding arbitration provision above, any suit relating to these Terms of Use, the Website, or Frontera Health, Inc. that is not subject to arbitration shall be brought exclusively in the federal or state courts located in Denver, Colorado, and both parties consent to personal jurisdiction and venue in such courts and waive any objection to venue or inconvenient forum, provided that this exclusive jurisdiction clause shall not apply where it would deprive a consumer of protection under mandatory consumer protection laws of their jurisdiction.
